  • What are the characteristics of the boards that successfully replace CEOs? Can you give us some examples?
My research indicates that boards over time are increasingly willing to dismiss the CEO when they become concerned over the strategic direction and financial performance of the company. This increasing willingness to take action over time indicates that boards learn from what other companies and boards have experienced. Thus, while it took a long time for boards in the early 1990s to come to terms with the situation and dismiss the company’s CEO, they are increasingly willing to take quicker action and not wait so long in determining that a change in leadership is needed.
